These Terms and Conditions (“Terms”) govern access to and use of www.alamoresearchlabs.com (the “Site”) and purchases from Alamo Research Labs LLC, doing business as Alamo Research Labs (“Alamo,” “we,” “us,” or “our”).
By accessing the Site, creating an account, checking the acceptance box during checkout, or placing an order, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Site or purchase our products.
#1. Eligibility
You may place an order only if you:
- Are at least 18 years old and have reached the age of legal majority where you live;
- Have the legal capacity to enter into a binding agreement;
- Are purchasing solely for a legitimate and lawful research purpose;
- Have sufficient training, knowledge, facilities, safety equipment, and authority to receive, store, handle, use, and dispose of the products safely; and
- Are not prohibited by law from purchasing, possessing, or using the products.
If you purchase for a company, laboratory, university, or other organization, you represent that you are authorized to bind that organization to these Terms.
Age verification is an eligibility measure only. It does not authorize human use, personal use, or any otherwise prohibited activity.
#2. Research use only
Unless expressly stated otherwise in legally compliant written product documentation, all products sold by Alamo Research Labs are offered exclusively for lawful laboratory research, analytical testing, or in vitro research.
Products are not sold or intended for:
- Human or veterinary consumption or administration by any route;
- Injection, ingestion, inhalation, topical application, implantation, or personal use;
- Diagnosing, treating, curing, mitigating, or preventing any disease or condition;
- Affecting the structure or function of a human or animal body;
- Use as a drug, medication, dietary supplement, food, cosmetic, medical device, or veterinary product;
- Clinical, therapeutic, household, recreational, or self-experimentation purposes;
- Compounding, pharmacy preparation, or preparation of any substance for administration; or
- Resale, redistribution, or relabeling for a prohibited use.
You may not provide our products to anyone you know or reasonably suspect intends to use them for a prohibited purpose.
#3. Purchaser representations
By placing an order, you represent and warrant that:
1. Your purchase is for a bona fide and lawful research purpose.
2. You understand the characteristics, hazards, storage requirements, and handling precautions associated with the products.
3. You will independently evaluate all risks before handling or using a product.
4. You will use appropriate facilities, controls, protective equipment, and disposal procedures.
5. You will comply with all applicable federal, state, local, international, institutional, and safety requirements.
6. You will obtain any licenses, permits, approvals, or institutional authorizations required for your research.
7. You will not rely on Alamo for medical advice, dosing guidance, administration instructions, treatment recommendations, or human-use information.
8. Your age, identity, billing, shipping, and intended-use information is complete and accurate.
Requests for dosing, administration, injection, therapeutic results, personal-use instructions, or similar information may result in order cancellation, account suspension, or refusal of future sales.
## 4. Order screening and refusal
We may review orders for fraud, legal restrictions, product restrictions, sanctions compliance, shipping limitations, or evidence of prohibited use.
We may:
- Request proof of age, identity, qualifications, institutional affiliation, intended use, or legal authorization;
- Limit quantities;
- Place an order on hold;
- Refuse service;
- Cancel an order; or
- Restrict or terminate an account.
If we cancel a paid order before shipment, we will refund the amount paid. Acceptance of a previous order does not require us to accept another order.
## 5. Product status and no medical advice
Products offered on the Site are not represented as approved drugs, medications, dietary supplements, foods, cosmetics, medical devices, or veterinary products.
Unless expressly stated in legally authorized written documentation, products have not been approved by the U.S. Food and Drug Administration for human or veterinary use. No Site content represents that a product is safe or effective for treating, diagnosing, preventing, or affecting a human or animal condition.
Product names, chemical descriptions, research literature, and scientific references are provided only for identification and legitimate research context. They are not instructions, endorsements, recommendations, or representations of suitability for human or veterinary use.
Nothing on the Site constitutes medical, veterinary, pharmaceutical, legal, or regulatory advice.
## 6. Product information, purity, and testing
We aim to provide accurate product descriptions, images, lot information, and analytical documentation. Minor variations in appearance, packaging, labeling, fill level, or analytical results may occur between lots.
Any stated purity, identity, or laboratory-testing result:
- Applies only to the lot, sample, method, laboratory, and criteria identified in the applicable documentation;
- Does not establish pharmaceutical grade, sterility, clinical safety, efficacy, or suitability for administration;
- Does not guarantee identical results under different equipment, methods, laboratories, or storage conditions; and
- Is not a representation that the product is suitable for human or veterinary use.
A Certificate of Analysis provides analytical information. It is not a safety certification or guarantee of fitness for a particular experiment.
No product should be assumed sterile, pyrogen-free, endotoxin-free, pharmaceutical-grade, or suitable for administration unless expressly stated in legally compliant, product-specific documentation. Alamo does not offer products for administration to humans or animals.
## 7. Storage, handling, and inspection
You are responsible for determining appropriate storage, handling, containment, transportation, and disposal procedures.
Inspect packages immediately upon delivery. Do not open or handle a product if its packaging is visibly damaged, leaking, improperly sealed, or inconsistent with your order.
Report shipping damage or an incorrect item to info@alamoresearchlabs.com within 48 hours of delivery. Include your order number and clear photographs of the unopened product, shipping package, label, and damage.
Failure to follow posted storage and handling instructions may affect product integrity and eligibility for any legally available remedy.
## 8. Orders and acceptance
Displaying a product on the Site is an invitation to place an order, not a guarantee that an order will be accepted.
Your order is an offer to purchase. We accept it when we send shipment confirmation or ship the product. An automated order-confirmation email confirms receipt but does not constitute final acceptance.
We may correct pricing, inventory, coupon, typographical, or product-information errors before accepting an order. If an error materially affects a paid order, we may request approval of the correction or cancel and refund the affected order.
## 9. Prices, payments, taxes, and promotions
Prices are listed in U.S. dollars unless otherwise stated. Prices, availability, and promotions may change before an order is accepted.
You authorize Alamo and its payment processors to charge the payment method provided for the order total, taxes, shipping, and other clearly disclosed charges.
Coupons and promotions:
- Are subject to their stated conditions and expiration dates;
- Have no cash value;
- May not be combined unless expressly allowed;
- May be limited by product, customer, quantity, or location; and
- May be withdrawn before order acceptance, subject to applicable law.
## 10. Shipping and delivery
Processing and delivery dates are estimates unless expressly identified as guaranteed. You are responsible for providing a complete and accurate delivery address.
We may restrict products or destinations because of carrier requirements, legal restrictions, sanctions, fraud concerns, product considerations, or other compliance risks.
If we cannot ship within the promised timeframe—or within the timeframe required when no specific shipment time is stated—we will provide any delay notice, cancellation option, and refund required by applicable law.
Carrier delays, weather, natural disasters, customs inspections, incorrect addresses, and events outside our reasonable control may affect delivery. Nothing in these Terms eliminates rights that cannot legally be waived.
## 11. All-sales-final and no-refund policy
EXCEPT WHERE A REFUND, REPLACEMENT, CANCELLATION, OR OTHER REMEDY IS REQUIRED BY LAW, ALL SALES ARE FINAL.
We do not accept discretionary:
- Returns;
- Exchanges;
- Order cancellations;
- Store credits;
- Refunds for changed minds or accidental purchases;
- Refunds because a product did not produce an expected research result;
- Refunds for incompatibility with a customer’s equipment, method, or experiment; or
- Refunds for products stored, handled, opened, or used improperly.
Orders begin processing promptly. Submitting a cancellation request does not guarantee that the order can be stopped.
Because laboratory products may be affected by contamination, tampering, temperature, and chain-of-custody concerns, products generally cannot be returned after shipment. Do not send any product back without written authorization.
### Legally required or approved exceptions
A refund, replacement, or other remedy may be provided when:
1. Alamo cancels a paid order before shipment;
2. An order cannot be shipped within the required timeframe and the customer does not consent to the delay;
3. The wrong product was delivered;
4. A product arrived materially damaged or compromised and the customer complied with the 48-hour reporting requirement;
5. A paid product cannot be supplied or replaced; or
6. Applicable law requires another remedy.
For a verified incorrect or damaged delivery, we may provide a replacement instead of a refund where legally permitted. If replacement is unavailable, we will provide the remedy required by law.
Original shipping charges are non-refundable except where the entire order was not shipped or applicable law requires their return.
Nothing in this section waives rights that cannot legally be waived.
## 12. Export controls and sanctions
You may not export, re-export, transfer, sell, divert, or use a product in violation of U.S. export-control, sanctions, trade-control, anti-boycott, or other applicable laws.
You represent that:
- You are not a restricted or sanctioned person or acting on behalf of one;
- You are not purchasing for a prohibited destination;
- You will not transfer products for a prohibited end use; and
- You will not use a freight forwarder or intermediary to evade restrictions.
We may screen customers, payment information, intermediaries, and shipping destinations and may hold or cancel a transaction when a compliance concern exists.
## 13. Accounts and acceptable use
You are responsible for protecting your account credentials and for activity conducted through your account.
You may not:
- Use the Site for an unlawful, fraudulent, deceptive, or abusive purpose;
- Interfere with Site security or operation;
- Introduce malicious code;
- Scrape or automatically extract Site content without permission;
- Impersonate another person or organization;
- Submit false age, identity, payment, shipping, or intended-use information; or
- Use reviews, questions, messages, or Site features to promote prohibited human or veterinary use.
We may suspend or terminate access for suspected violations.
## 14. Reviews and submitted content
Submitted reviews, photographs, questions, comments, or other content must be truthful, lawful, and based on genuine experience.
Content may not:
- Describe or encourage human or veterinary consumption or administration;
- Make unsupported therapeutic, medical, safety, or efficacy claims;
- Include dosing or personal-use instructions;
- Be fraudulent, threatening, defamatory, obscene, or unlawful; or
- Violate another person’s rights.
You grant Alamo a non-exclusive, worldwide, royalty-free license to display, reproduce, format, and use submitted content in connection with operating and promoting the Site.
We may moderate content that violates these Terms, but we will not prohibit honest reviews merely because they are critical.
## 15. Intellectual property
The Site and its branding, logos, photographs, graphics, software, text, and other content are owned by or licensed to Alamo and protected by applicable intellectual-property laws.
We grant you a limited, revocable, non-transferable license to access the Site for lawful purchasing and informational purposes. You may not reproduce, distribute, modify, commercially exploit, or misuse Site content without written permission.
## 16. Third-party services
The Site may rely on Squarespace, payment processors, carriers, analytics providers, and other third-party services.
Third-party services have their own terms and privacy practices. We are not responsible for third-party content or services beyond responsibilities applicable law places on us.
## 17. Disclaimer of warranties
Except for any express written product specification or mandatory warranty, and to the maximum extent permitted by law, the Site and products are provided “as is” and “as available.”
We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent those warranties may legally be disclaimed.
We do not warrant that:
- The Site will always be uninterrupted or error-free;
- A product will produce a particular research result;
- Product information will satisfy every institutional or regulatory requirement; or
- A product is appropriate for anything beyond its expressly stated lawful research use.
Nothing excludes a warranty or remedy that cannot legally be excluded.
## 18. Limitation of liability
To the maximum extent permitted by law, Alamo Research Labs LLC and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, interrupted research, or loss of business opportunity.
To the maximum extent permitted by law, our total liability arising from a particular product or order will not exceed the amount paid for that product or order.
These limitations do not apply where liability cannot legally be limited, including where prohibited in connection with fraud, gross negligence, willful misconduct, personal injury, product liability, or mandatory consumer-protection law.
## 19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Alamo Research Labs LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, penalties, and reasonable expenses arising from:
- Your breach of these Terms;
- Your unlawful or prohibited handling, use, transfer, resale, or disposal of a product;
- False information you provide;
- Your violation of another person’s rights; or
- Your violation of applicable law.
This section does not require indemnification where it cannot legally be required.
## 20. Texas law and courts
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute through written notice and informal discussion for at least 30 days.
Subject to any nonwaivable rights or mandatory jurisdictional requirements, exclusive jurisdiction and venue will lie in:
- The appropriate state courts located in Bexar County, Texas; or
- When federal jurisdiction exists, the United States District Court for the Western District of Texas, San Antonio Division.
Each party consents to the personal jurisdiction of those courts.
These Terms do not contain an arbitration agreement, class-action waiver, or jury-trial waiver. Any such provisions should be separately prepared by qualified legal counsel.
## 21. Privacy and communications
Our collection and use of personal information is governed by the Privacy Policy posted on the Site.
You consent to transactional communications concerning accounts, orders, payments, shipping, recalls, product notices, and support requests.
Consent to promotional email or text messaging is separate from purchasing and may be withdrawn as described in the applicable communication or Privacy Policy.
## 22. Changes to these Terms
We may update these Terms prospectively by posting a revised version with a new “Last updated” date.
The Terms in effect when an order is submitted will generally govern that order, except where a change is required by law or agreed to by the parties.
## 23. Force majeure
We are not responsible for delays caused by events beyond our reasonable control, including natural disasters, severe weather, carrier interruptions, governmental actions, embargoes, epidemics, infrastructure failures, or supply-chain disruptions.
This section does not eliminate any legally required notice, cancellation, or refund obligation.
## 24. Severability, waiver, and assignment
If any provision is found unenforceable, the remaining provisions will remain effective to the extent legally permitted.
Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, sale of assets, reorganization, or lawful business transfer.
## 25. Entire agreement
These Terms, together with the Privacy Policy and any product-specific terms expressly incorporated by reference, constitute the agreement concerning the Site and purchases.
If legally valid product-specific terms conflict with these general Terms, the product-specific terms control for that product.
